By accessing or using Scanify, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree, you must immediately discontinue use of the platform.

1. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings ascribed to them below:

  • "Scanify," "we," "us," or "our" refers to Scanify, its owners, officers, employees, agents, and affiliates operating the platform at scanify.co.in.
  • "Platform" means the Scanify web application, mobile application, QR code infrastructure, APIs, and all associated services and tools.
  • "Restaurant Partner" or "Business User" means any restaurant, food and beverage establishment, or business entity that registers with and uses Scanify to manage menus and receive orders.
  • "End Customer" or "Customer" means any individual who scans a Scanify-powered QR code or otherwise accesses the platform to browse menus or place orders.
  • "User" refers collectively to Restaurant Partners and End Customers.
  • "Content" means any data, text, images, pricing, descriptions, or other material uploaded to or displayed through the Platform.
  • "Order" means a food or beverage request placed by an End Customer through the Platform.
  • "Services" means all features, tools, and capabilities offered by Scanify as described in these Terms.

2. Description of Service

Scanify is a Software-as-a-Service (SaaS) technology platform that enables restaurants and food businesses to:

  • Host and manage digital menus accessible via QR codes
  • Accept and manage customer orders digitally
  • Provide customer-facing browsing and ordering interfaces
  • Access analytics and order management dashboards

Important: Scanify is a technology intermediary only. Scanify does not prepare, handle, package, cook, or deliver food or beverages. Scanify does not employ or engage restaurant staff, delivery personnel, or food handlers. All contractual obligations relating to food and service are exclusively between the Restaurant Partner and the End Customer.


3. Eligibility and User Types

3.1 Age Requirement

You must be at least 18 years of age to create an account or use the Platform. By using Scanify, you represent and warrant that you are 18 years of age or older. If you are under 18, you may only use the Platform under the direct supervision of a parent or legal guardian who agrees to these Terms on your behalf.

By using Scanify, you represent that you have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872, and all other applicable laws.

3.3 Restaurant Partners (Business Users)

Restaurants and food businesses that register on Scanify to manage menus, receive orders, and use platform tools. Registration requires providing accurate business information, including a valid FSSAI license number where applicable.

3.4 End Customers

Individuals who access the Platform by scanning a QR code or through a shared link to browse menus or place orders. End Customers do not need to register an account to browse menus but may be required to provide contact information to complete an order.


4. Restaurant Partner Responsibilities

By registering as a Restaurant Partner, you agree and undertake to:

4.1 Menu and Pricing Accuracy

  • Provide accurate, current, and complete menu descriptions, ingredient information, allergen disclosures, and pricing
  • Update menu availability in real-time to prevent customers from ordering unavailable items
  • Ensure prices displayed on the Platform are inclusive of applicable taxes (GST) or clearly state if taxes are additional

4.2 Order Fulfillment

  • Accept and fulfill all orders placed through the Platform in a timely and professional manner
  • Communicate directly with customers in cases of delay, unavailability, or cancellation
  • Handle all customer refund and cancellation requests as per your stated restaurant policy
  • Maintain a valid and current FSSAI (Food Safety and Standards Authority of India) license and any other mandatory food safety certifications
  • Comply with all applicable food hygiene, safety, and health laws, including the Food Safety and Standards Act, 2006
  • Comply with all applicable GST regulations, including issuing valid tax invoices to customers where required
  • Not list any prohibited, restricted, or unlicensed food or beverage items on the Platform

4.4 Customer Disputes

  • Handle all order-related complaints, refund requests, and disputes directly with the End Customer
  • Respond to customer grievances in a reasonable and timely manner
  • Scanify may, at its sole discretion, mediate disputes but bears no obligation to do so and is not responsible for outcomes

5. Customer Responsibilities

As an End Customer, you agree to:

  • Provide accurate contact and order details when placing an order
  • Carefully review your order before confirming, as confirmed orders may not be cancellable depending on restaurant policy
  • Follow the specific terms, cancellation policies, and instructions of the Restaurant Partner from whom you are ordering
  • Raise any disputes about food quality, delivery, or order accuracy directly with the Restaurant Partner
  • Not misuse the Platform to place fraudulent, abusive, or malicious orders

All food-related disputes, including quality, quantity, and service issues, must be resolved directly with the Restaurant Partner. Scanify provides contact and escalation support where possible but is not a party to the transaction.


6. Acceptable Use Policy

All Users agree that they will NOT use the Platform to:

  • Violate any applicable local, state, national, or international law or regulation
  • Upload or transmit any false, inaccurate, misleading, or fraudulent Content
  • Infringe the intellectual property rights of Scanify or any third party
  • Attempt to gain unauthorized access to any part of the Platform, other user accounts, or backend systems
  • Use automated tools, bots, scrapers, or crawlers to access or extract data from the Platform without Scanify's written permission
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
  • Introduce viruses, malware, or any other harmful code into the Platform
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Platform for any purpose that is unlawful, abusive, harassing, defamatory, or otherwise objectionable
  • Overload or disrupt the Platform's infrastructure or servers

Violation of this Acceptable Use Policy may result in immediate suspension or termination of access, and Scanify reserves the right to report violations to appropriate law enforcement authorities.


7. Accounts and Access

7.1 Account Registration

Restaurant Partners must register an account to access the platform dashboard. You agree to provide accurate, complete, and current information during registration and to update your information promptly if it changes.

7.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your account credentials (username and password)
  • You must not share your login credentials with any third party
  • You must immediately notify Scanify of any suspected unauthorized use of your account at support@scanify.co.in
  • Scanify will not be liable for any loss or damage arising from your failure to safeguard your account

7.3 Account Suspension and Termination

Scanify reserves the right to suspend or permanently terminate any account that:

  • Violates any provision of these Terms
  • Engages in fraudulent, abusive, or unlawful activity
  • Provides false or misleading information during registration
  • Has been inactive for an extended period, with prior notice where reasonably possible

8. Orders and Payments

8.1 Order Placement

Orders placed through the Platform constitute a direct agreement between the End Customer and the Restaurant Partner. Scanify facilitates the order placement process but is not a party to that agreement.

8.2 Payment Processing

  • Payments may be processed through third-party payment gateway providers (e.g., Razorpay, PayU, Stripe, or others)
  • By making a payment through the Platform, you agree to the terms and conditions of the relevant payment gateway provider
  • All transactions are subject to the payment gateway's security and fraud prevention protocols
  • Scanify does not store full card details or other sensitive payment information

8.3 Taxes and Invoicing

  • Prices displayed on the Platform may or may not include GST; Restaurant Partners are responsible for accurate tax display
  • Restaurant Partners are responsible for issuing compliant GST invoices to customers where applicable
  • Scanify may, at its discretion, generate platform-level receipts but these do not constitute tax invoices

8.4 Payment Failures

Scanify is not responsible for payment failures, declined transactions, double charges, or other payment errors caused by third-party payment gateways. In case of a payment dispute, you must contact the relevant payment provider and your bank or card issuer.

8.5 Refunds and Cancellations

All refund and cancellation policies are set by individual Restaurant Partners. Scanify does not guarantee refunds and is not liable for any disputes between Customers and Restaurant Partners regarding refunds or cancellations.


9. Intellectual Property

9.1 Scanify's Intellectual Property

All content on the Platform — including but not limited to software, source code, algorithms, design, user interface, graphics, trademarks, trade names, logos, and documentation — is the exclusive intellectual property of Scanify and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Platform without Scanify's prior written consent.

9.2 Restaurant Partner Content

Restaurant Partners retain full ownership of the menu content, images, descriptions, and other materials they upload to the Platform ("Restaurant Content"). By uploading Restaurant Content, you grant Scanify a non-exclusive, royalty-free, worldwide license to display, reproduce, format, and distribute your Restaurant Content solely for the purpose of operating and improving the Platform and related marketing activities.

You represent and warrant that you own or have the right to use all Restaurant Content you upload, and that it does not infringe the intellectual property rights of any third party.

9.3 Feedback

If you provide Scanify with suggestions, ideas, or feedback about the Platform, you grant Scanify an irrevocable, perpetual, royalty-free license to use such feedback without restriction or obligation to you.


10. Third-Party Services

The Platform may integrate with or link to third-party services, including:

  • Payment gateways (e.g., Razorpay, PayU)
  • Cloud hosting and infrastructure providers
  • Analytics and tracking tools
  • SMS and email communication services

These third-party services are governed by their own terms of service and privacy policies. Scanify does not endorse, control, or take responsibility for the availability, accuracy, security, or data handling practices of any third-party service. Your use of third-party services is at your own risk.


11. Data Protection and Privacy

11.1 Applicable Laws

Scanify processes personal data in accordance with:

  • The Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
  • The Digital Personal Data Protection Act, 2023 (DPDP Act)
  • Any other applicable data protection regulations in India

11.2 Data Collection and Use

We collect and process personal data (including names, contact information, order details, and device/usage data) to operate the Platform, process orders, improve services, and comply with legal obligations. Full details of what we collect and how we use it are set out in our Privacy Policy, available at https://scanify.co.in/privacy-policy.

11.3 Data of End Customers

Restaurant Partners who access End Customer data through the Platform are independently responsible for handling such data in compliance with all applicable data protection laws. Restaurant Partners must not use End Customer data for any purpose other than fulfilling orders.

11.4 Cookies and Tracking

The Platform uses cookies and similar tracking technologies to improve your experience. By using the Platform, you consent to our use of cookies as described in our Cookie Policy.


12. Disclaimer of Warranties

To the fullest extent permitted by applicable law:

  • The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise
  • Scanify expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Scanify does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Platform will be accurate or reliable; (c) any errors in the Platform will be corrected
  • Scanify makes no warranties regarding food quality, safety, preparation, handling, or delivery, all of which are solely the responsibility of the Restaurant Partner

Nothing in these Terms shall exclude or limit any warranty that cannot be excluded or limited under applicable law.


13. Limitation of Liability

To the fullest extent permitted by applicable Indian law:

Scanify, its directors, officers, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Any food quality, safety, hygiene, or health-related incidents or illnesses
  • Errors, omissions, or inaccuracies in Restaurant Content including menu descriptions and allergen information
  • Unauthorized access to or alteration of your transmissions or data
  • Any loss arising from your reliance on the Platform for business-critical decisions
  • Losses arising from third-party payment gateway failures or errors
  • Downtime, data loss, or service interruptions

Aggregate Liability Cap: In no event shall Scanify's total aggregate liability to any User exceed the greater of (a) the amount paid by the User to Scanify in the three (3) months preceding the claim, or (b) ₹1,000 (Indian Rupees One Thousand).

Some jurisdictions do not allow certain limitations of liability. Where such limitations are not permitted by applicable law, they shall apply to the maximum extent permitted.


14. Indemnification

You agree to defend, indemnify, and hold harmless Scanify and its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of the Platform
  • Your violation of any provision of these Terms
  • Any Restaurant Content you upload that infringes third-party rights or violates applicable law
  • Any order dispute, food safety issue, or customer complaint arising from your restaurant's operations
  • Your violation of any applicable law, regulation, or third-party rights
  • Any false, inaccurate, or misleading information you provide on the Platform

15. Force Majeure

Scanify shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond Scanify's reasonable control, including but not limited to: acts of God, natural disasters, floods, fires, earthquakes, epidemics or pandemics, wars, civil unrest, government actions, internet or telecommunications failures, power outages, cyberattacks, or labour disputes.

In such events, Scanify's obligations shall be suspended for the duration of the force majeure event, and Scanify will make reasonable efforts to restore services as soon as practicable.


16. Service Availability and Maintenance

Scanify strives to maintain high platform availability but does not guarantee:

  • Continuous, uninterrupted access to the Platform at all times
  • Error-free operation of any feature or functionality
  • Compatibility of the Platform with all devices, browsers, or operating systems

Scanify reserves the right to perform scheduled or emergency maintenance at any time, which may temporarily interrupt service. Where reasonably possible, Scanify will provide advance notice of planned maintenance through its website or registered communication channels.


17. Termination and Suspension

17.1 By Scanify

Scanify may, at its sole discretion, immediately suspend or terminate your access to the Platform, with or without notice, if:

  • You breach any provision of these Terms
  • You engage in fraudulent, abusive, illegal, or harmful conduct
  • Scanify is required to do so by applicable law or a competent authority
  • Scanify discontinues the Platform or any part thereof

17.2 By the User

Restaurant Partners may terminate their account at any time by contacting support@scanify.co.in. Termination will not entitle you to any refund of subscription fees already paid, unless otherwise agreed in writing.

End Customers may discontinue use of the Platform at any time without notice.

17.3 Effect of Termination

Upon termination: (a) your right to access and use the Platform ceases immediately; (b) Scanify may delete your account and associated data subject to legal retention obligations; (c) any outstanding obligations accrued prior to termination shall survive.


18. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Scanify has appointed a Grievance Officer to address complaints and concerns related to the Platform.

Complaints must be submitted in writing to the above email address. Scanify will acknowledge receipt of your complaint within 24 hours and endeavour to resolve it within 15 days of receipt, in accordance with applicable law.


19. Dispute Resolution and Arbitration

19.1 Good Faith Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform, the parties shall first attempt to resolve the matter through good faith negotiation within 30 days of either party providing written notice of the dispute.

19.2 Arbitration

If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be:

  • Conducted by a sole arbitrator mutually agreed upon by the parties, or appointed in accordance with the Act
  • Held in Bangalore, Karnataka, India
  • Conducted in the English language
  • Subject to the substantive laws of India

The arbitrator's decision shall be final and binding on both parties.

19.3 Small Claims Exception

Notwithstanding the above, either party may seek interim relief or injunctions from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.


20. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to:

  • The Information Technology Act, 2000
  • The Indian Contract Act, 1872
  • The Consumer Protection Act, 2019
  • The Digital Personal Data Protection Act, 2023

Subject to the arbitration clause above, any disputes not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.


21. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be deemed severed from these Terms. Such severance shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.


22. Entire Agreement and Waiver

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Scanify regarding your use of the Platform and supersede all prior agreements, understandings, and representations.

Scanify's failure to enforce any provision of these Terms on one occasion shall not be construed as a waiver of that provision or of Scanify's right to enforce it on any other occasion.


23. Changes to These Terms

Scanify reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this document
  • Notify registered Restaurant Partners via email or a prominent in-platform notification

Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform immediately.

By using Scanify, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in their entirety.
